RecruitLadder Basic Service License Agreement

Welcome to the RecruitLadder Basic Service, the Service for corporate and executive recruiters to post jobs online operated by TheLadders.co.uk. This page states the legally binding Terms of Use ("Terms") under which you may use the www.TheLadders.co.uk's RecruitLadder Basic Service to find job seekers in the employment market for positions having an annual salary of £50,000 or more.

RecruitLadder Basic is a tool that enables employers and professional recruiters to post jobs and search for, identify and reach out to potential recruits ("RecruitLadder Basic Service").

These Terms include the TheLadders.co.uk's Acceptable Use Policy ("AUP") available at http://www.theladders.co.uk/abouttheladdersprivacy, as updated by TheLadders.co.uk from time to time, and which is incorporated into these Terms by reference. Please read these Terms and the AUP carefully. If you do not accept the Terms stated here, do not use TheLadders.co.uk and its services. TheLadders.co.uk. may revise these Terms at any time by posting an updated version to our site. You should visit this page periodically to review the most current Terms because they are binding on you. These Terms also cover access by you to TheLadders.co.uk's RecruitLadder Basic Service through your login and password.

By clicking the "Continue" button at the end of "Create An Account" form you agree to be bound to the terms of this Agreement. Please read it carefully.

Intellectual Property. You acknowledge and agree that TheLadders.co.uk owns, and shall continue to own, all proprietary right, title and interest (including, but not limited to, copyright, trade secret and patent) in and to TheLadders.co.uk site and the RecruitLadder Basic Service ("TheLadders.co.uk Materials"). When posting jobs or other personal information on RecruitLadder Basic Service, you consent and license TheLadders.co.uk to use and disclose the content that you furnish in providing the Services and you acknowledge that you have the right to furnish and license such content. All messages and other communications from you to TheLadders.co.uk and any information contained therein (including your marks) may be used, by TheLadders.co.uk and its affiliated sites at their sole and absolute discretion, for any purpose, without further permission or restriction from you. All such messages and content become property of TheLadders.co.uk and its affiliated sites.

TheLadders.co.uk expressly reserves the right to edit and delete messages, postings, files, or other material posted by you in connection with your doing business with TheLadders.co.uk and your use of the RecruitLadder Basic Service, in whole or in part, at its sole and absolute discretion, without notice or recourse to TheLadders.co.uk and its affiliated sites.

Marks. All trademarks and registered trademarks are the property of their respective owners. You may not make any public announcements, press releases, advertising, marketing, promotional or other materials (whether in print, electronically or otherwise) that display or use any name, mark, logo or brand of TheLadders.co.uk. Notwithstanding the foregoing, you agree that TheLadders.co.uk may use your logo and associated trademarks (your "Marks"), if any, on TheLadders.co.uk's site including but not limited to, collateral and related marketing materials to show that you are a partner of TheLadders.co.uk. You hereby grant TheLadders.co.uk a non-exclusive, worldwide, perpetual, royalty-free, non-transferable right (including moral rights) and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, communicate to the public, perform and display the content (in whole or in part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed, for the full term of any rights that may exist in such content. your Marks as it sees fit.

Third-Party Intellectual Property Rights. TheLadders.co.uk respects the intellectual property of others, and we ask you, to do the same. The unauthorised posting, reproduction, copying, distribution, modification, public display or public performance of copyrighted works constitutes infringement of the copyright owners rights. As a condition to your use of TheLadders.co.uk, you agree not to use TheLadders.co.uk to infringe the intellectual property rights of others in any way. TheLadders.co.uk reserves the right to terminate Your RecruitLadder Basic Service account, and block access to TheLadders.co.uk if you infringe the copyrights, or other intellectual property rights, of others. TheLadders.co.uk reserves the right to take these actions at any time, in its sole discretion, with or without notice, and without any liability to the party that is terminated or to the party whose access is blocked.

Notification of Copyright or Trademark Infringement. If you believe that your copyrighted work or trademark has been uploaded, posted or copied to theLadders.co.uk site and is accessible on our site in a way that constitutes copyright or trademark infringement, please notify in writing our designated agent of such case. Limitation of Liability. TheLadders.co.uk and the RecruitLadder Basic Service may contain inaccuracies or typographical errors. TheLadders.co.uk makes no representations about the accuracy, reliability, completeness, or timeliness of any content on TheLadders.co.uk. You acknowledge and agree that you are solely responsible for the form, content and accuracy of job descriptions, material and your Marks posted by you on TheLadders.co.uk site. TheLadders.co.uk shall not be responsible for any employment decisions, for whatever reason, made by any entity posting jobs on TheLadders.co.uk site. You acknowledge that TheLadders.co.uk is not your agent with respect to employment actions and/or recordkeeping obligations, and that you are solely responsible for complying all laws and regulations to which you are subject, including but not limited to equal opportunity and anti-discrimination laws.

The material displayed on our site is provided without any guarantees, conditions or warranties as to its accuracy. To the extent permitted by law, we, and our affiliates and third parties connected to us hereby expressly exclude:

  • All conditions, warranties and other terms which might otherwise be implied by statute, common law or equity;
  • Any liability for any direct, indirect or consequential loss or damage incurred by any user in connection with our site or in connection with the use, inability to use, or results of the use of our site, any websites linked to it, any email distributed to any user and any materials posted on it, including but not limited to, any liability for:
    • Loss of income or revenue;
    • Loss of business;
    • Loss of profits or contracts;
    • Loss of data;
    • Loss of goodwill; and

This does not affect our liability for death or personal injury arising from our negligence, nor our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, nor any other liability which cannot be excluded or limited under applicable law.

TheLadders.co.uk's maximum aggregate liability arising out of or in connection with TheLadders.co.uk and the RecruitLadder basic service, regardless of the cause of action (whether in contract, tort, breach of warranty or otherwise), shall not exceed £50.

Disclaimer of Warranty. TheLadders.co.uk does not warrant that our site will operate error-free or that our servers are free of computer viruses or other harmful mechanisms. If your use of TheLadders.co.uk site results in the need for servicing or replacing equipment or data, TheLadders.co.uk is not responsible for those costs. TheLadder.co.uk site and content are provided on an "as is", "where is", "as available" basis without any warranties of any kind. All warranties, whether express or implied, are excluded to the fullest extent permitted by law, including the warranties of merchantability, fitness for a particular purpose and non-infringement. TheLadders.co.uk makes no warranties about the accuracy, reliability, completeness or timeliness of its content, services, software, text, graphics and links.

Indemnity. You agree to defend, indemnify, and hold harmless TheLadders.co.uk, its affiliates, and their respective officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from (i) any content or other material you provide to TheLadders.co.uk Site, (ii) your use of any TheLadders.co.uk content, (iii) any communication or interaction you have with another TheLadders.co.uk member or user, or (iv) your breach of these Terms.

Marketing and Promotion. You authorise TheLadders.co.uk and its affiliated sites to send you a reasonable amount of e-mail or other correspondence, including but not limited to, marketing promotions, special events and general information regarding TheLadders.co.uk and its affiliated sites. You can at any time choose not to receive e-mail by either choosing the applicable option in your account management tool or by emailing recruit@recruitladder.co.uk.

Governing Law. These Terms of Use are governed by English law. The English courts will have non-exclusive jurisdiction over any claim arising from, or related to, a visit to our site.

General. TheLadders.co.uk makes no claims that the TheLadders.co.uk content may be lawfully viewed or accessed outside of the United Kingdom. Access to the TheLadders.co.uk content may not be legal by certain persons or in certain countries. If you access TheLadders.co.uk from outside of the United Kingdom, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. If any provision of these Terms are found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Termination. TheLadders.co.uk may discontinue the RecruitLadder Basic Service or terminate, without liability, your RecruitLadder Basic Service account membership at its sole discretion at any time.

These Terms constitute a binding agreement between You and TheLadders.co.uk, and is accepted by when you check the box indicating your acceptance of these Terms of Use. By clicking the "Continue" button at the end of "Create An Account" form You represent that you are capable of entering into a binding agreement, and that You agree to be bound by these Terms.
